GlobalSource Partners MCP Server Terms of Service

These MCP Server Terms of Service, effective 1st of August 2026 (last updated 1st of August 2026) (the "MCP Terms") govern your access to and use of the GlobalSource Partners Model Context Protocol server (the "MCP Service") through ChatGPT, Codex, another OpenAI product, or another compatible MCP client.

By accessing or using the MCP Service, you agree to these MCP Terms. If you use the MCP Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree to these MCP Terms, do not access or use the MCP Service.

These MCP Terms supplement the terms governing your GlobalSource Partners account, subscription, website use, or customer agreement (the "Underlying Agreement"). If these MCP Terms conflict with an Underlying Agreement, the Underlying Agreement controls to the extent of the conflict. The MCP Server Privacy Policy explains how we process information in connection with the MCP Service.

1. Eligibility and Authorized Use

The MCP Service is intended for business and professional use. You may use it only if you are legally capable of entering into a binding agreement and are authorized to access the applicable GlobalSource Partners account, subscription, and content.

You may use the MCP Service solely for your internal business or professional research purposes and only within the scope of your subscription, license, authorization scopes, and the Underlying Agreement. Access to a compatible MCP client does not grant access to content or functionality beyond your existing GlobalSource Partners entitlements.

2. Accounts, Authentication, and Security

You are responsible for maintaining the confidentiality and security of your account credentials, authentication tokens, connected-client permissions, and devices. You may not share credentials or permit another person to use your account except as expressly allowed under the Underlying Agreement.

You are responsible for activity conducted through your account. You must promptly revoke access and contact us if you know or suspect that credentials, tokens, or your account have been lost, compromised, or used without authorization.

We may require authentication, verify subscription status and permissions on each request, impose reasonable access controls, and reject requests that are unauthorized or present a security risk.

3. The MCP Service

The MCP Service allows compatible clients to request authorized GlobalSource Partners research, reports, excerpts, metadata, citations, links, and related functionality through MCP tools. Available tools, content, coverage, and functionality may depend on your subscription, location, client, and account permissions.

We may add, modify, limit, suspend, or discontinue tools, features, integrations, or content. We do not guarantee that every MCP client will support every function or display results in the same manner.

The MCP Service may impose technical safeguards, request limits, result limits, rate limits, or other controls designed to protect the service, licensed content, users, and our systems. You may not evade or interfere with those controls.

4. Subscriptions, Fees, and Entitlements

Use of the MCP Service may require an active paid GlobalSource Partners subscription or other authorization. Fees, billing, renewals, taxes, cancellations, and refunds are governed by the Underlying Agreement. Unless we expressly state otherwise, access to the MCP Service is included only to the extent authorized by your existing subscription and does not expand your licensed users, content, or permitted uses.

Your access may change or end if your subscription expires, is suspended, or is terminated, or if the applicable organization administrator changes your permissions.

5. Ownership and License

The MCP Service and the research, reports, analyses, text, data, metadata, organization, selection, compilation, trademarks, software, and other materials made available through it (collectively, "GSP Materials") are owned by or licensed to GlobalSource Partners and are protected by intellectual-property and other laws.

Subject to your compliance with these MCP Terms and the Underlying Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the MCP Service and GSP Materials for your authorized internal business or professional purposes during the applicable subscription term.

Except as expressly permitted in the Underlying Agreement or by us in writing, no right is granted to reproduce, distribute, publish, transmit, sell, sublicense, create derivative databases from, or commercially exploit the MCP Service or GSP Materials. All rights not expressly granted are reserved.

6. Acceptable Use

You may not, and may not help another person to:

  • Access or use the MCP Service or GSP Materials in violation of law, these MCP Terms, the Underlying Agreement, or another person's rights;
  • Access content or accounts for which you are not authorized, misrepresent your identity or authority, share credentials, or bypass authentication, permissions, paywalls, rate limits, or other access controls;
  • Use automated means to scrape, crawl, harvest, systematically download, bulk extract, index, mirror, or reconstruct the MCP Service or a substantial collection of GSP Materials, except through expressly authorized MCP tools and within applicable limits;
  • Use GSP Materials to build, train, fine-tune, evaluate, or improve an artificial-intelligence or machine-learning model, or to create a competing product, database, research service, or content offering, unless expressly authorized by us in writing;
  • Redistribute, publish, broadcast, sell, sublicense, or make GSP Materials available to unauthorized users or the public;
  • Remove or obscure copyright, trademark, attribution, source, confidentiality, or proprietary notices;
  • Reverse engineer, probe, scan, test, disrupt, overload, introduce malicious code into, or attempt to gain unauthorized access to the MCP Service or related systems;
  • Use prompts, instructions, or other inputs intended to exfiltrate credentials, confidential information, hidden instructions, or data belonging to another user or organization;
  • Falsely imply that an output was created, endorsed, or verified by GlobalSource Partners, OpenAI, or any analyst or third party; or
  • Use the MCP Service in a manner that could harm GlobalSource Partners, its contributors, users, service providers, or reputation.

We may investigate suspected violations and apply reasonable technical or account-level measures to enforce these requirements.

7. User Inputs and Instructions

You are responsible for the search terms, prompts, filters, identifiers, instructions, and other information submitted to the MCP Service through your client ("Inputs"). You represent that you have all rights and permissions necessary to provide your Inputs and authorize us to process them to operate, secure, maintain, and improve the MCP Service as described in the MCP Server Privacy Policy.

Do not submit passwords, authentication secrets, sensitive personal information, confidential information belonging to another person, or full conversation histories unless an MCP tool expressly requires the information and you are authorized to provide it.

8. MCP Clients and Third-Party Services

The MCP Service interoperates with third-party products and services, including MCP clients operated by OpenAI and others. Those products and services are not controlled by GlobalSource Partners and are governed by their own terms, privacy policies, availability, security practices, and technical limitations.

Your MCP client may transmit Inputs to us and may receive, store, transform, summarize, combine, or display results from the MCP Service. We are not responsible for changes, errors, omissions, disclosures, or other acts or omissions caused by an independent MCP client or third-party service. References to OpenAI products describe interoperability only and do not imply that OpenAI sponsors or endorses GlobalSource Partners or the MCP Service.

9. Research Content and No Professional Advice

GSP Materials are provided for general informational and research purposes. They may include opinions, estimates, forecasts, historical information, or third-party information and may be incomplete, delayed, or subject to change without notice. We do not guarantee that any content or result is current, complete, or error-free.

The MCP Service and GSP Materials do not constitute investment, financial, legal, tax, accounting, medical, or other professional advice; an offer or solicitation to buy or sell securities or other instruments; or a recommendation to make a particular decision. You are responsible for independently evaluating information and obtaining appropriate professional advice before acting on it.

Outputs generated, transformed, or summarized by an MCP client or artificial-intelligence system may contain errors or may not accurately reflect the underlying GSP Materials. You should review source materials, citations, dates, and relevant context before relying on an output or sharing it with others.

10. Feedback

If you provide ideas, suggestions, or feedback concerning the MCP Service, you grant GlobalSource Partners a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation, provided that we do not identify you publicly as its source without permission.

11. Suspension and Termination

You may stop using the MCP Service at any time and may disconnect it through your MCP client or account settings where available.

We may limit, suspend, or terminate access to the MCP Service immediately if we reasonably believe that you violated these MCP Terms or the Underlying Agreement; your use creates a security, legal, operational, or reputational risk; your subscription or authorization has ended; or suspension is necessary to protect the MCP Service, GSP Materials, users, or third parties. Where reasonably practicable, we will provide notice consistent with the Underlying Agreement.

Upon termination, your right to use the MCP Service ends. Provisions that by their nature should survive termination will survive, including provisions concerning ownership, use restrictions, disclaimers, liability, indemnification, disputes, and general terms.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MCP SERVICE AND GSP MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." GlobalSource Partners DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE MCP SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT THE OPERATION OR OUTPUT OF ANY THIRD-PARTY MCP CLIENT, ARTIFICIAL-INTELLIGENCE SYSTEM, PLATFORM, NETWORK, OR SERVICE. NOTHING IN THESE MCP TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GlobalSource Partners AND ITS AFFILIATES, LICENSORS, CONTRIBUTORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE MCP SERVICE OR GSP MATERIALS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF GlobalSource Partners AND THE PARTIES LISTED ABOVE ARISING OUT OF OR RELATING TO THE MCP SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID TO GlobalSource Partners FOR THE MCP SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100. IF AN UNDERLYING AGREEMENT SPECIFIES A DIFFERENT LIABILITY CAP OR ALLOCATION OF RISK, THAT AGREEMENT CONTROLS.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the limitations above may not apply to you.

14. Indemnification

To the extent permitted by law and unless otherwise stated in an Underlying Agreement, you will defend, indemnify, and hold harmless GlobalSource Partners and its affiliates, licensors, contributors, service providers, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to your Inputs; your misuse of the MCP Service or GSP Materials; your violation of these MCP Terms, the Underlying Agreement, or law; or your infringement of another person's rights.

15. Trade Controls

You may not access or use the MCP Service in violation of applicable export-control, sanctions, import, or trade laws. You represent that you are not prohibited from receiving the MCP Service under applicable trade restrictions and will not make the MCP Service or GSP Materials available to a prohibited person, entity, or destination.

16. Changes to the MCP Terms

We may update these MCP Terms from time to time. We will post the updated version at this URL and revise the "last updated" date above. If required by law or the Underlying Agreement, we will provide additional notice of material changes. Your continued use of the MCP Service after updated MCP Terms take effect constitutes acceptance of the updated terms to the extent permitted by law.

17. Governing Law and Disputes

These MCP Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Each party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in New York County, New York, for any dispute arising out of or relating to these MCP Terms, and waives any objection to venue or inconvenient forum. Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from any court of competent jurisdiction where permitted by law.

18. General Terms

These MCP Terms and the applicable Underlying Agreement form the entire agreement between you and GlobalSource Partners concerning the MCP Service. If a provision is held unenforceable, it will be modified only to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these MCP Terms without our prior written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law.
